These Service Terms govern the ISO 14001:2026 Transition Service supplied by Management Systems International, LLC. Please read them before purchasing. By completing a purchase you accept these Service Terms.

1. Scope of these Service Terms
These Service Terms apply to the ISO 14001:2026 Transition Service (the “Service”), under which Management Systems International, LLC (“MSI,” “we,” “us”) reviews and updates documented information supplied by you, and to the related consulting engagement described in Section 3.
The Service is distinct from our template products, courses and downloadable resources. Those remain governed by our Websites Terms of Use, published at member.msi-international.com and at msi-international.com. In these Service Terms, “Websites Terms of Use” means both of those documents.
1.1 Precedence
Where these Service Terms and the Websites Terms of Use conflict, these Service Terms govern in respect of the Service. In particular, and for the avoidance of doubt:
- The provisions of the Websites Terms of Use concerning materials provided to the websites do not apply to documents you submit for the Service. We do not acquire any right to copy, distribute, display, publish, reformat or otherwise exploit your submitted documents, and we will not publish your organization name in connection with them.
- The provisions of the Websites Terms of Use concerning ownership of intellectual product do not operate to transfer ownership of your documents, or of the updated versions we return to you, to MSI. See Section 6.
2. What the Service delivers
For each document accepted under the Service you receive three deliverables:
- The updated document, revised to address the requirements of ISO 14001:2026, in your own format, numbering and document control conventions.
- A transition delta sheet recording, clause by clause, what changed and what record demonstrates it.
- A signed determination stating that the change was reviewed and managed.
None of the three is optional and none is charged separately.
3. Consulting engagement
The transition program management plan is a consulting engagement rather than a document purchase. It comprises a working session, a sequenced program plan with schedule and target dates, a document index, a suggested records list, a functions and responsibilities matrix where roles change, a review session on delivery, and written responses to questions arising within thirty calendar days of delivery.
Sections 4 through 14 of these Service Terms apply to the consulting engagement except where a provision is expressly limited to document editing.
4. What you provide
- The current document or documents in editable format.
- Your document control conventions, where these are not evident from the file.
- Your certification body and next audit date, where you want scheduling set against it.
- A named point of contact for questions arising during the work.
- The confirmation required by Section 5.
5. Your warranty as to submitted material
By submitting a document you represent and warrant that your organization owns it, or holds the right to modify it and to have it modified on your behalf, and that submitting it to us for that purpose does not breach any license, agreement or restriction binding on you.
This matters in practice. Documents supplied by a former consultant, or derived from a third-party licensed template product, may carry restrictions preventing modification or disclosure. Where we identify material in a submitted document that appears to originate from a third-party licensed product, we will raise it with you before proceeding. We will not knowingly modify material your organization is not licensed to modify.
6. Ownership
Your documents remain yours. You retain all right, title and interest in the documents you submit and in the updated versions we return to you. MSI asserts no ownership over your documented information.
We do not reuse your content. Material from your documents is not incorporated into our template products, and is not used in work performed for any other organization.
Our own materials remain ours. MSI retains all right, title and interest in its methods, templates, checklists, delta sheet structure and other pre-existing or independently developed materials, including where these are applied in performing the Service. Nothing in these Service Terms transfers ownership of those materials to you. Where such material is embedded in a deliverable, you receive a perpetual, non-exclusive, non-transferable license to use it within your own organization for the operation of your management system.
7. Confidentiality
Documents you submit, and the deliverables produced from them, are treated as confidential. They are not disclosed to any third party and are not used for any purpose other than performing the Service you have engaged us to perform.
This obligation does not apply to information that is or becomes publicly available other than through our breach, that we hold independently of your disclosure, or that we are required to disclose by law or legal process. Where disclosure is legally required we will, where lawfully permitted, notify you before disclosing.
This obligation survives completion of the Service.
8. Retention and deletion
We retain submitted documents and the deliverables produced from them for one year from the date of final delivery, so that follow-on work can be performed without asking you to resend material. At the end of that period the material is deleted.
You may request earlier deletion at any time. We will action the request and confirm in writing when it is complete.
9. Scope limits

9.1 Outside scope
- Implementation of the updated documents within your organization.
- Training your personnel on the revised documents, which is available separately.
- Attendance at, or representation during, any certification audit.
- Determination of your environmental aspects, compliance obligations or risks on your behalf. These remain your determinations to make; our documents provide the mechanism for making and recording them.
- Any assurance as to the outcome of a third-party certification audit. See Section 13.
10. Turnaround and scheduling
Turnaround begins when your first document reaches us, not at the point of purchase. On receipt we confirm your position in the queue and give you a delivery date.
Scheduling is subject to availability. Capacity is deliberately limited. Where your surveillance or recertification audit date is provided at submission, we will schedule against it where availability allows. Delivery dates given are targets set in good faith and are not guaranteed dates.
11. Payment, invoicing and cancellation
Payment is by card at the point of purchase, or by invoice where your organization cannot pay professional services by card. To request an invoice, call 760-434-9141 or contact us before purchasing.
Where a document falls outside the scope limits in Section 9, the additional amount is quoted and agreed in writing before the work is performed. Nothing is added to an invoice you have not agreed to.
11.1 Cancellation and refunds
Because the Service is performed to order, refunds are governed as follows and not by the money-back guarantee or refund provisions of the Websites Terms of Use:
- Before any document is submitted: a purchase may be cancelled in full and refunded.
- After a document is submitted: the unit against which that document was submitted is not refundable, as work is scheduled and performed against it.
- Unused units in a multi-document purchase: refundable at the per-unit price applicable to the quantity actually used.
- Consulting engagements: refundable in full before the working session takes place; not refundable thereafter.
12. Independence
Where MSI has authored or revised your documented information, that engagement is disclosed if we are subsequently considered for any audit-related role, so that impartiality can be assessed by the party relying on it.
13. No assurance of certification outcome; not legal advice
The Service produces documented information intended to address the requirements of ISO 14001:2026. It does not constitute legal advice, regulatory advice, or a determination of your compliance obligations. Determination of applicable legal requirements and other compliance obligations remains the responsibility of your organization.
Conformity of an environmental management system is assessed by an accredited certification body. Nothing in these Service Terms, in any deliverable, or in any statement made in connection with the Service constitutes an assurance of any certification or audit outcome.
14. Limitation of liability
To the maximum extent permitted by applicable law, MSI's aggregate liability arising out of or in connection with the Service shall not exceed the amount paid by you for the Service giving rise to the claim.
15. General
Governing law, dispute resolution and the remaining general provisions of the Websites Terms of Use apply to these Service Terms, subject to the precedence stated in Section 1.1.
We may revise these Service Terms. The version in effect at the date of your purchase governs that purchase.
